General Terms and Conditions of Sale

 

The following are the General Terms and Conditions governing the transactions between Técnicas y Aplicaciones Productivas, S.L. (hereinafter referred to as Protecnic) and the buyer. These terms are intended to ensure the mutual benefit and compliance with the agreements established between both parties. They agree that the contract and its proper execution shall be governed by Spanish law.

 

Mission and Purpose of the Transaction

The products developed and manufactured by Protecnic are designed for use in the furniture and construction industries. Please refer to the technical specifications for each product to consider its use and application.

The buyer accepts these general terms and conditions of sale. These terms shall apply to each transaction between Protecnic and the buyer. They can only be modified or canceled by a subsequent written agreement accepted by both parties through signature and seal.

Any modification or cancellation of an order will only be valid with Protecnic's acceptance, which may apply costs resulting from such modification.

Orders are subject to the approval and acceptance of Protecnic, which reserves the right to reject them without justification.

 

Shipping

Shipping dates are estimated and cannot be guaranteed upon order confirmation.

The quantity of product shipped may vary by up to +/- 10% from the initial order without grounds for dispute.

For international transactions, the established terms shall be EXW unless otherwise specified in the offer. Responsibilities will be defined according to the chosen Incoterm in compliance with international trade regulations.

Delays in delivery due to force majeure or any other external circumstances cannot be attributed to Protecnic and therefore cannot constitute grounds for order cancellation by the buyer.

 

Price

The prices quoted do not include VAT. VAT will be applied at the time of invoicing, if applicable. Unless specified otherwise, prices are expressed in Euros.

The price is valid under the terms specified in the specific conditions agreed upon with the buyer, and is fixed as of the transaction date. Packaging is included in all cases.

Protecnic reserves the right to change prices without prior notice. The new prices will be applicable to all products ordered from the date of the new price list or the date indicated in their notification.

 

Payment Terms and Credit Conditions

The agreed terms between Protecnic and the buyer will be adhered to. In case of non-compliance with the agreed payment obligations, the customer shall be liable for any interest accrued accordingly.


Warranty
The buyer is responsible for ensuring that the purchased products are suitable for their intended use.

Protecnic's supplied products are manufactured according to international industry standards. Furthermore, technical tests are available to attest to their technical and operational properties. These technical datasheets (available to our clients) specify production tolerances and deviations. Any claims must be reported to Protecnic within 30 days of receiving the order, taking into account provided specifications, usage instructions, etc., and after a thorough inspection of the entire batch by the buyer. Claims may be processed through refund or replacement of the affected product. Protecnic reserves the right to request return of the claimed products and may apply incurred costs if the claim is found to lack merit after verification of the issue.
